Terms of Service

Timatsu LLC ("Timatsu," "we," "us," or "our") operates the timatsu.com website and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Separate Entities

Timatsu LLC and Horizen LLC are separate legal entities. These Terms govern your use of the Timatsu Service only. Use of Horizen services at timatsu.com/horizen is governed by Horizen LLC's own Terms of Service. Accepting these Terms does not bind you to Horizen's terms, and vice versa.

2. Eligibility

You must be at least 18 years of age to create an account or use any interactive features of the Service. By creating an account, you represent and warrant that you are 18 or older and that the information you provide is accurate and complete.

3. Accounts

When you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts at our discretion, including for violation of these Terms.

Upon account termination, your right to access the Service ceases immediately. We may retain certain data as required by law or as described in our Privacy Policy.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates applicable law or regulation; attempt to gain unauthorized access to any part of the Service, other accounts, or systems; use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our written consent; impersonate any person or entity; interfere with or disrupt the Service or its infrastructure; upload or transmit viruses, malware, or other harmful code; or use the Service to harass, abuse, or harm others.

5. Intellectual Property

All content on the Service, including text, graphics, logos, images, essays, course materials, software, and design, is the property of Timatsu LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

6. User Content

If the Service allows you to submit, post, or otherwise provide content ("User Content"), you retain ownership of that content. By submitting User Content, you grant Timatsu LLC a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and providing the Service.

You represent that you own or have the necessary rights to submit your User Content and that it does not violate the rights of any third party.

7. Paid Services

Certain features, courses, tools, or events may require payment. By purchasing a paid service, you agree to pay all applicable fees as described at the time of purchase. Prices are subject to change with reasonable notice. Unless otherwise stated, all fees are non-refundable.

For subscription-based services, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.

8. Newsletter and Communications

By providing your email address, you may opt in to receive our newsletter and promotional communications. You can unsubscribe at any time using the link provided in each email. Transactional communications related to your account (such as password resets, security alerts, and service updates) are not subject to opt-out.

9. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by Timatsu LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Use of third-party services is at your own risk.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content, tool outputs, or course materials will be accurate, reliable, or complete.

11. Limitation of Liability

To the maximum extent permitted by law, Timatsu LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us, if any, in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Timatsu LLC and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the effective date at the top of this page and, for material changes, provide notice through the Service or via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
